Welcome to the Wthaiq platform ("the Platform", "we", "us", "our").
These Terms and Conditions ("the Agreement") govern your use of the Wthaiq platform, including the website, the applications, the application programming interfaces (if any), and all services, features, content and tools provided through them.
Please read this Agreement carefully before using the Platform. Your access to the Platform, creation of an account, or use of any of its services constitutes your express agreement to be bound by all provisions of this Agreement, the Privacy Policy, the Cookies Policy, the Electronic Signature Policy, the Acceptable Use Policy, and any other policies or agreements referred to in this Agreement or published on the Platform.
If you do not agree to any provision of this Agreement, you must refrain from using the Platform.
This Agreement governs the legal relationship between Wthaiq and all users of the Platform, whether they are individuals, companies, institutions, or any other legal entities.
This Agreement applies to all current and future services provided by the Platform, including but not limited to:
This Agreement applies to all means of accessing the Platform, including the website, smartphone applications, application programming interfaces (API), and any platforms or services associated with them.
The User acknowledges that, upon using the Platform, creating an account, or accessing any of its services, the User has:
Where the Platform is used on behalf of a company, institution, or any juridical person, the User acknowledges that the User holds the legal authority to bind that entity to the provisions of this Agreement.
Wthaiq reserves the right to amend, update, add to, or delete any provision of this Agreement at any time where operational, security, technical, regulatory, or legal necessity so requires.
Any amendment becomes effective as of the date of its publication on the Platform or from the date specified therein.
Where material amendments are made that affect the User's rights or obligations, the Platform will make reasonable efforts to notify users by email, by in-Platform notifications, or by publishing a notice on the website.
The User's continued use of the Platform after the amendments take effect is deemed acceptance of them.
For the purposes of this Agreement, the following words and expressions shall have the meanings set out against each of them, unless the context requires otherwise:
The Platform: the Wthaiq platform and all of its websites, applications, systems and digital services.
The User: every natural or juridical person who uses the Platform by any means whatsoever.
The Account: the electronic account created by the User to access the Platform's services.
The Services: all services, features and functions that the Platform provides currently or in the future.
The Document: any contract, agreement, file, template or instrument created, uploaded, amended, signed or stored using the Platform.
Electronic Signature: any electronic means adopted by the Platform to express the User's consent to, or signature of, a document.
Content: all data, texts, images, files, media and information that the User uploads, creates or shares through the Platform.
Artificial Intelligence: any service that relies on artificial intelligence, machine learning or language model technologies to generate, amend or suggest content.
External Service Provider: any independent party upon which the Platform relies to provide part of its services.
IP Address: the internet protocol address used when accessing the Platform, which may be retained within the technical logs for security, operational and evidentiary purposes.
Audit Log: the electronic record that documents the activities and operations carried out through the Platform, including the relevant dates, times and technical data.
Subscription: any paid or free plan that enables the User to benefit from specified services in accordance with its terms.
The Platform may make this Agreement available in more than one language to facilitate its use.
In the event of any difference or conflict between the language versions, the version designated by Wthaiq as the official version shall be the reference for interpretation, to the extent permitted by the applicable law.
This Agreement shall be read together with all legal policies and agreements published on the Platform as an integral part thereof.
In the event of a conflict between this Agreement and any other policy, precedence shall be in the following order unless expressly stipulated otherwise:
These documents shall be interpreted so as to achieve integration between them as far as possible, without prejudice to any rights or obligations imposed by the applicable law.
The Platform may be used only by natural or juridical persons who possess full legal capacity to conclude contracts and be bound by them in accordance with the laws in force in the relevant State.
By using the Platform, the User acknowledges and warrants the following:
The Platform may, at its reasonable discretion, refuse to provide the service, suspend it, or terminate the account if it appears that the eligibility conditions are not met or that there is a reasonable suspicion of misuse of the Platform.
The use of certain Platform services may require the creation of a user account.
Upon creating the account, the User undertakes the following:
The Platform may request additional information to verify the account whenever it considers this necessary for security, regulatory or operational reasons.
The Platform may, according to the nature of the service or the regulatory or security requirements, request the User to provide additional documents, data or means of verification, including:
The User acknowledges that:
No identity verification procedure, including verification using email, telephone, IP address, a verification code or any other technical means, constitutes a legal or conclusive guarantee of the User's identity, capacity, authority or eligibility, or of the accuracy of the data the User provides, unless the applicable law expressly provides otherwise.
The Platform bears no liability for impersonation or the provision of untrue data by any user, unless this results from a gross breach on its part of its legal obligations.
The User bears full responsibility for maintaining the confidentiality of the User's login credentials, including the username, the password, verification codes and any other means of authentication.
The User undertakes the following:
The Platform bears no liability for any losses or damages arising as a result of the User's breach of these obligations or as a result of the use of the User's login credentials by third parties, unless this arises directly from a gross security defect for which the Platform is liable under the law.
The User undertakes that all data, information and documents that the User provides through the Platform are:
The User alone bears full legal responsibility for the accuracy of the data the User enters and for the consequences arising from its use.
The Platform is not obliged to verify the accuracy of all data provided, and may rely on it in operating the Services until the contrary is established to it.
If the account is created in the name of a company, institution, governmental entity or any juridical person, the person who creates or uses the account acknowledges and warrants that the person is legally authorised to act on behalf of that entity.
The entity owning the account shall be responsible for all activities carried out through the corporate account, including activities carried out by employees, representatives or authorised users.
The Platform may request documents evidencing capacity or authorisation at any time if it considers this necessary.
If the Platform enables the addition of authorised users, team members or multiple permissions within a single account, the account owner or the entity owning it bears responsibility for:
The Platform bears no liability for any act carried out by an authorised user who was granted access by the account owner or the owner's representative.
The account owner remains responsible for reviewing the activity logs, managing authorised users, and taking the measures necessary to protect the account.
Wthaiq is an electronic technology platform that provides digital tools and services helping users to create, manage, share, electronically sign and store documents, in addition to providing contract templates and assistive services that rely, where applicable, on artificial intelligence technologies.
The User acknowledges and agrees that:
The Platform bears no liability for the performance of agreements, the validity of obligations, or any party's fulfilment of its contractual obligations.
The Platform may provide, according to the plan or service available, one or more of the following services:
The inclusion of a service within the Platform does not give rise to an obligation to continue providing it or not to modify it.
The Platform may, at any time and without prior obligation:
The use of any new service is subject to this Agreement and any additional terms that may apply to it.
The Platform may make certain services or features available free of charge.
The User acknowledges that free services:
The Platform is not obliged to maintain any free service or to convert it into a permanent service.
Certain services or features may require a subscription or financial fees.
Paid services are subject to the Subscriptions and Invoicing Policy, in addition to this Agreement.
The Platform reserves the right to:
A change in prices does not affect any paid subscription period that has previously been confirmed, unless the law or the agreement provides otherwise.
The Platform may carry out updates, improvements or modifications to its services, its technical infrastructure, the user interface or its security features at any time.
These updates may include:
The User acknowledges that the continued development of the Platform may lead to a change in certain characteristics of the service, without this constituting a breach of this Agreement.
The Platform makes reasonable commercial efforts to provide its services in a stable manner; however, it does not warrant that the Services will be:
The Platform may suspend, restrict or discontinue the service temporarily, partially or wholly in cases required by maintenance, updates, security requirements, technical malfunctions, regulatory requirements, or circumstances beyond its control.
The Platform bears no liability for any losses or damages resulting from temporary interruption, maintenance works, updates, or malfunctions beyond the scope of its control, to the extent permitted by the applicable law.
The Platform may provide a set of contract templates, agreements, documents or legal forms prepared for general use.
The User acknowledges and agrees to the following:
The User may create, upload, amend, store or share documents through the Platform.
The User undertakes that all documents that the User creates or uploads:
The Platform is not obliged to review the documents or to verify their accuracy, lawfulness or completeness.
The User alone bears full responsibility for all documents that the User creates, uploads, amends, shares or signs using the Platform.
This includes, by way of example and not limitation:
The Platform is not considered an author, participant, reviewer or approver of any document created by the User.
Before approving, sharing, signing or using any document, the User undertakes to review it carefully in order to ascertain:
The Platform bears no liability for the User's reliance on a document that the User has not appropriately reviewed.
The Platform may enable the creation, storage or downloading of electronic copies of documents in various formats.
The User acknowledges that:
The Platform bears no liability for any difference in formatting, printing or display resulting from the use of external software, devices or applications.
The Platform may retain electronic records relating to the use of the Services, and these records may include, according to the nature of the service:
The User acknowledges that these records are retained for operational, security and evidentiary purposes, and may be used to assist in verifying the activities carried out through the Platform.
The retention of these records does not constitute governmental notarisation or legal certification of the documents, signatures or transactions, nor does the Platform warrant the acceptance or evidentiary weight of these records before any judicial, administrative or regulatory body, as this is subject to the applicable law and the discretion of the competent authority.
The Platform may enable users to sign documents electronically using the technical means it adopts.
By using the electronic signature service, the User acknowledges and agrees to the following:
The User bears responsibility for ensuring that the use of the electronic signature is appropriate for the intended purpose and permitted under the relevant laws.
The Platform may use one or more means to verify the signing process, which may include:
The User acknowledges that these means are intended to enhance the security of the service, and do not in themselves constitute a legal guarantee of the signatory's identity, capacity, authority or legal eligibility.
The Platform may retain an electronic record of the signature operations carried out through it, and this record may include:
The purpose of retaining these records is to operate the service, enhance its security, and assist in tracking electronic activity.
The Platform may record the User's Internet Protocol (IP) address when using its services or when carrying out electronic signature operations.
This data is collected for purposes including:
The IP address alone does not constitute conclusive evidence of the User's identity, location or legal capacity, and it may change or be used by more than one person according to the nature of the communications network.
The Platform may attach an electronic timestamp to certain operations, such as the creation, amendment or signature of a document.
The User acknowledges that the timestamp is intended to record the time at which the operation was carried out in accordance with the technical systems used, and does not in itself constitute official notarisation, governmental certification, or a legal guarantee of the validity of the transaction.
The electronic records generated by the Platform, including the activity logs, the signature records and the technical data, may assist in supporting proof of certain facts relating to the use of the Platform.
Nevertheless:
The Platform gives no undertaking or warranty that any electronic signature carried out through it will be:
The User bears responsibility for verifying the extent to which the electronic signature is accepted in the State, the sector, or the type of transaction in which it is used.
The laws governing electronic signature and electronic evidence differ from one State to another.
Accordingly:
The User alone bears responsibility for ensuring that the User's use of the electronic signature services complies with the laws, regulations and rules in force in the relevant State or jurisdiction.
The User acknowledges and undertakes that the User:
The User alone bears all legal, financial and regulatory consequences arising from the User's use of the electronic signature service, without prejudice to any liability that the applicable laws may impose on the Platform in cases where such liability may not lawfully be excluded.
Certain Platform services may rely on artificial intelligence, machine learning or language model technologies to generate, amend or suggest content, documents, summaries, contractual forms, information, answers or any other outputs.
The User acknowledges that the use of these services is at the User's own responsibility, and that artificial intelligence is an assistive technical tool and is not a substitute for human or professional assessment or review.
All outputs generated using the artificial intelligence services are provided for informational purposes and to assist the User only.
The Platform gives no undertaking or warranty that these outputs will be:
The User alone bears responsibility for assessing the suitability of the outputs for the User's needs before using them.
The User acknowledges that artificial intelligence systems may at times produce information, texts, conclusions or forms that are incorrect, inaccurate, incomplete or unsuited to the required context.
Accordingly:
The Platform bears no liability for any losses or damages resulting from reliance on artificial intelligence outputs without reviewing them.
The User alone bears responsibility for reviewing all outputs produced or amended by the artificial intelligence services before:
The Platform recommends, where necessary, submitting documents or outputs to a qualified adviser, lawyer or specialist before using them in transactions having legal, financial or commercial effect.
The User bears full responsibility for all data, instructions, texts, documents or any other inputs that the User provides to the artificial intelligence services.
The User undertakes not to use the service to enter or process:
All decisions relating to the use, amendment, adoption, publication or performance of the outputs resulting from the artificial intelligence services remain the responsibility of the User alone.
The Platform shall not be liable for:
To the extent permitted by the applicable law, the artificial intelligence services are provided "As Is" and "As Available", without any express or implied warranties.
The Platform does not warrant, by way of example and not limitation:
The Platform reserves the right to change, replace, update or discontinue any service relying on artificial intelligence at any time, at its discretion, without this giving rise to any obligation to continue providing it with the same characteristics or capabilities.
All information, content, templates, documents, explanations, answers, suggestions and outputs provided by the Platform, including any content generated using artificial intelligence technologies, are provided for informational and technical purposes only.
No part of the Platform's services constitutes:
The User may not rely on any content provided by the Platform as the sole basis for taking legal, financial or commercial decisions.
The use of the Platform, the creation of an account, communication with the support team, the use of the artificial intelligence services, or the creation, amendment, signature or sharing of documents does not give rise to any attorney–client relationship, legal advisory relationship, agency relationship or legal representation between the User and the Platform or its owners, managers, employees, partners or service providers.
The Platform assumes no professional duties or obligations arising from the relationship between a lawyer and a client or any similar professional relationship.
Neither the Platform nor any of its employees, representatives or partners represents any user before:
Nor does the Platform prepare pleadings, submit defences, or represent the User in any legal, judicial or administrative proceeding.
The User acknowledges that Wthaiq is a technology platform providing electronic tools for the creation and management of documents, electronic signature, and the associated digital services.
The Platform does not act in the capacity of:
The Platform's role is limited to providing the technical infrastructure necessary to operate its services.
The Platform is in no event a party to any contract, agreement or transaction created, signed or performed using its services.
In particular, the Platform bears no liability for:
All legal rights and obligations remain confined to the parties to the transaction without any participation by the Platform.
The laws and regulations governing contracts, electronic signature, electronic evidence, data protection and privacy differ from one State to another.
Accordingly:
The User alone bears responsibility for ensuring that the User's use of the Platform complies with the laws in force in the relevant State or jurisdiction.
The User alone bears responsibility for compliance with all laws, regulations and rules applicable to the User's use of the Platform, to the documents, or to the transactions the User conducts, including, by way of example and not limitation:
The Platform bears no liability for the User's violation of any applicable law, regulation or rule, nor does the Platform's provision of its services, templates or tools constitute an acknowledgement or warranty that the use of those services or templates automatically complies with all legal or regulatory requirements in any State or sector.
All intellectual property rights relating to the Wthaiq platform belong to the Platform or to the entities that have licensed it to use those rights, and they include, by way of example and not limitation:
All these rights are protected under intellectual property laws, international conventions and the relevant regulations.
All of the Platform's names, trade marks, logos, trade names and any other distinctive marks used within its services are the property of Wthaiq or of the entities owning them.
The User may not copy, use, imitate, register or exploit them in any manner whatsoever without the prior written consent of the rights holder.
The use of the Platform does not grant any implied right or licence to use any of those marks.
All materials published on the Platform, including texts, designs, graphics, images, files, software, visual or audio content, or any other works, are protected by copyright, neighbouring rights, or other intellectual property rights.
They may not be copied, reproduced, published, distributed, amended or exploited by any means or for any purpose without prior written authorisation, unless expressly permitted by law.
The databases used by the Platform, including their structure, organisation, compilation and content to the extent owned by the Platform, are considered part of its intellectual property or that of the entities licensing it.
It is prohibited to extract, re-use, copy or republish a substantial part of the databases or their content using any manual or automated means, including automated extraction tools (Scraping), bots or any similar technologies, without prior written consent.
Wthaiq grants the User, throughout the period of the User's lawful use of the Services, a limited, revocable, non-exclusive licence, not transferable or capable of sub-licensing, to use the Platform and the Services in accordance with this Agreement.
This licence does not result in the transfer of any ownership right to the User, and is limited to lawful personal or internal use, unless the Platform agrees otherwise in writing.
The User may not, whether personally or through third parties, carry out any of the following acts without the prior written consent of Wthaiq:
Any use in breach of these provisions shall result in the termination of the licence granted to the User, without prejudice to any other rights or remedies available to the Platform under this Agreement or the applicable law.
Unless otherwise stipulated, the User retains the User's rights in the documents, data, files and content that the User creates, uploads, amends or shares through the Platform.
The User acknowledges and warrants that the User:
The User alone bears full responsibility for all content that the User creates, uploads or shares using the Platform.
The User grants the Platform, throughout the period during which the Services are provided and to the extent necessary to operate them, a limited, non-exclusive, royalty-free licence to use the content that the User uploads, creates or shares, for the purposes of:
The Platform does not acquire any ownership of the content by virtue of this licence, and may not use it for purposes other than providing the Services except in accordance with the law, with the User's consent, or as set out in the Privacy Policy.
The User is prohibited from uploading, creating or sharing any content that includes or leads to:
The Platform may, at its reasonable discretion and without being obliged to do so, remove, suspend or restrict access to any content if:
The removal of content does not give rise to any obligation on the Platform to review it, amend it, or retain a copy of it, unless retention is required under the law or for security or regulatory purposes.
The Platform may retain technical records, backup copies, operational data or activity logs associated with the content or with the use of the Services, for the following purposes:
These records are retained in accordance with the Data Retention Policy and the Privacy Policy, and their retention does not give rise to any obligation to treat them as official notarisation or as a warranty of the validity of the content, transactions or electronic signatures.
The User undertakes to use the Platform in a lawful and responsible manner and in compliance with this Agreement and all applicable laws, regulations and rules.
The User alone bears responsibility for all activities carried out through the User's account or using the Platform's services.
The User is prohibited from using the Platform or any of its services in any unlawful activity or any activity contrary to this Agreement, including by way of example and not limitation:

The Platform may suspend or terminate the account and notify the competent authorities if the law so requires.

It is prohibited to use the artificial intelligence services for:

The Platform may remove any content or suspend any account suspected of contravening this clause.
Unless expressly permitted by law, the User may not:
It is prohibited to use any software, tools, bots, or automated or manual means in order to:
Save after obtaining the prior written consent of Wthaiq.
If the Platform makes application programming interfaces (API) available, the User undertakes the following:
The Platform may suspend or cancel the access keys upon breach of these provisions.
It is prohibited to use the Platform to send:
The User is prohibited from:
The Platform may take any measure it deems appropriate, including suspending or terminating the account, and taking the necessary legal proceedings.
The Platform may rely on external service providers to operate certain of its functions, including the services of:
The User acknowledges that these providers are independent entities subject to their own terms and policies.
If the Platform makes paid services available, payments may be processed by independent payment providers.
The Platform does not ordinarily retain or manage payment card data except to the extent necessary to provide the service, in accordance with what the applicable regulations permit.
All payment operations are subject to the terms of the payment service provider in addition to the Platform's terms.
The Platform may use external services to send:
The Platform bears no liability for delay or non-delivery resulting from the providers of those services or from the User's settings or the User's email service provider.
Data may be stored or processed using cloud infrastructure provided by external parties.
The Platform undertakes to select service providers having an appropriate level of protection and security; however, it does not warrant that no interruptions, malfunctions or incidents affecting the services provided by those parties will occur.
Certain features of the Platform may rely on technologies, models or application programming interfaces provided by independent artificial intelligence providers.
The Platform may change, replace or discontinue any provider or technology at any time without any obligation to continue providing the same capabilities or results.
To the extent permitted by law, the Platform bears no liability for any losses, damages, delay, interruption, loss of data or failure of performance resulting directly from services, systems or products provided by a third party.
The Platform bears no liability for the terms, policies or practices of external service providers, and the User's dealings with any third party remain subject to that party's own terms and policies.
The Platform may include links to, or integrations with, websites, applications or services owned by third parties.
The provision of those links or integrations does not constitute any endorsement, recommendation or warranty on the part of the Platform in respect of those parties or their services.
The User bears responsibility for reviewing the terms of use and privacy policies of any external service before using it.
Wthaiq undertakes to take reasonable technical, administrative and organisational measures to protect the Platform and the data from unauthorised access, unlawful use, alteration, disclosure or destruction, in a manner commensurate with the nature of the Services and the anticipated risks.
Nevertheless, the security of no electronic system or communications network can be guaranteed one hundred per cent, and the User acknowledges the possibility of technical risks occurring beyond the Platform's reasonable control.
The User bears responsibility for protecting the User's account and login credentials.
The User undertakes the following:
The Platform may suspend the account temporarily if it appears that there is unusual activity or activity that threatens the security of the Platform or the User.
The Platform may create periodic backup copies of data for the purposes of operation, business continuity, and the recovery of data where necessary.
The Platform does not warrant the possibility of recovering all data or any part of it in all cases, nor do the backup copies created by the Platform relieve the User of responsibility for retaining copies of the User's important documents where this is necessary for the User's business or legal obligations.
The Platform may create and retain electronic audit logs documenting the operations carried out through the Services, which may include:
These logs are retained for operational, security, regulatory and evidentiary purposes in accordance with the Platform's policies and the applicable laws.
The retention of these logs does not constitute official notarisation or legal certification of the transactions, and their evidentiary weight is subject to the law and the competent authorities.
The Platform may, to the extent necessary to protect its services and its users, monitor technical activities and security indicators in order to detect:
This monitoring is not intended to review content for legal or commercial purposes, but rather to protect the security of the Services and to comply with regulatory obligations.
In the event of a security incident that may affect the security of the Platform or the data of users, the Platform may take any measures it considers necessary, including:
The Platform makes reasonable efforts to respond to security incidents and to limit their effects, without this constituting a warranty that no future incident or breach will occur.
To the extent permitted by the applicable law, all of the Platform's services, content, functions and features are provided "As Is", without any express or implied warranties, undertakings or representations.
The User bears responsibility for assessing the suitability of the Services for the User's needs before using them.
The Platform's services are provided "As Available", and the Platform does not warrant that all services, features or functions will be available at all times, in all regions, or to all users.
Any service may be suspended, restricted or discontinued temporarily or permanently for operational, technical, security or regulatory reasons.
The Platform does not warrant that the use of its services will lead to the achievement of any particular legal, financial, commercial or regulatory result.
Nor does the Platform warrant that the use of the contract templates, the electronic signature, or the artificial intelligence services will achieve the purpose intended by the User or protect the User's legal interests.
The Platform gives no warranty that its services, templates, documents or outputs comply with all laws, regulations, rules or regulatory requirements in all States, sectors or jurisdictions.
The User alone bears responsibility for verifying the extent to which the User's use of the Services complies with the applicable law.
The Platform does not warrant the continued operation of all current services or features without interruption, modification or discontinuation.
The Platform reserves the right to develop, amend, replace or discontinue its services, or to remove any part of them, at any time, at its discretion, without this giving rise to any obligation to continue providing the same service or the same characteristics.
To the extent permitted by law, the Platform gives no warranty that the Services will be:
The Platform makes reasonable commercial efforts to address errors and improve the Services; however, it does not warrant that all problems will be addressed or that they will be addressed within a specified period of time.
The User acknowledges that Wthaiq's role is limited to providing a technology platform to facilitate the creation, management and electronic signature of documents and the provision of the associated services.
The Platform is not a party to any contractual, commercial or legal relationship arising between the User and any other party as a result of the use of the Services.
To the extent permitted by the applicable law, the Platform bears no liability for:
To the extent permitted by law, neither the Platform nor its affiliated companies, managers, employees, partners, agents or service providers bears any liability for any indirect, incidental, special, consequential or punitive damages, including, by way of example and not limitation:
This exclusion applies even if the Platform has been advised of the possibility of those damages occurring, to the extent permitted by law.
The User alone bears responsibility for:
The Platform bears no liability for the decisions, measures or acts taken by the User or by any third party in reliance on its services or content.
To the extent permitted by law, and in all cases, the Platform's total financial liability, for any claim or set of claims arising out of this Agreement or out of the use of the Services, shall not exceed the lesser of:
This limit applies in aggregate to all claims, regardless of their legal basis or their number, unless the applicable law prevents this.
The Platform bears no liability for any losses, damages, interruptions, delay, loss of data or failure of performance caused by services, products or systems provided by third parties, including:
The User's dealings with those parties remain subject to their own terms and policies.
No provision of this Agreement is intended to exclude or restrict any liability or right that may not be excluded or restricted under the applicable law.
Where any mandatory law provides that a particular liability may not be excluded or limited, this Chapter shall be interpreted and applied to the extent permitted by that law, without this affecting the validity or effectiveness of the remaining provisions of the Agreement.
The User agrees to indemnify, defend and hold harmless Wthaiq, its affiliated companies, its managers, employees, agents, partners, owners and service providers from any claims, actions, liabilities, losses, damages, fines, penalties, costs or expenses, including reasonable legal fees, arising directly or indirectly as a result of:
The indemnity obligation includes all reasonable expenses borne by the Platform in defending its rights, including:

The Platform reserves the right to manage, assume the defence of, or settle any claim or action covered by the indemnity obligation, and the User agrees to cooperate with the Platform and to provide the information or documents that it reasonably requests in order to defend those claims.
The User may not enter into any settlement in the name of the Platform or bind it to any obligation without its prior written consent.
The User's indemnity obligation remains in existence and in force even after the termination of the User's account or the expiry of this Agreement, to the extent necessary to settle any claim, dispute or legal proceeding that arose during, or was connected with, the period of the User's use of the Platform.
Wthaiq may, at its reasonable discretion, suspend the User's account or restrict access to some or all of the Services temporarily or with immediate effect if it appears to it, or it has reasonable grounds to believe, that the User:
Suspension of the account does not relieve the User of any obligations or liabilities that arose before the suspension.
The User may terminate the User's account at any time through the means provided by the Platform.
The Platform may also terminate the account permanently if:
Termination of the account does not extinguish any rights, claims or obligations that arose before the termination.
Upon termination of the account, the Platform may:
The User bears responsibility for downloading or retaining any documents or data that the User wishes to keep before the termination of the account, if the service permits this.
The Platform may retain certain data or records after the termination of the account if their retention is:
That data is dealt with in accordance with the Privacy Policy and the Data Retention Policy.
Wthaiq reserves the right to amend, suspend or discontinue any service or part of it temporarily or permanently, where operational, technical, security, commercial or legal necessity so requires.
Where possible, the Platform will make reasonable efforts to notify users before discontinuation, unless an emergency circumstance or a security or regulatory requirement prevents this.
The termination of any service does not give rise to an obligation on the Platform to provide an alternative service or to continue providing the same characteristics or functions.
The Platform bears no liability for any delay, impossibility or failure in performing its obligations where this arises from circumstances beyond its reasonable control, including by way of example and not limitation:
In the event of the occurrence of a force majeure event, the Platform may:
This is not deemed a breach of this Agreement or a ground for compensation, to the extent permitted by law.
The Platform makes reasonable commercial efforts to resume the affected services within an appropriate period after the cause of the force majeure has ceased.
The Platform bears no liability for any losses arising by reason of the delay or impossibility resulting from those circumstances, to the extent permitted by the applicable law.
This Agreement is governed by, and shall be interpreted and performed in accordance with, the law determined by Wthaiq on its legal page or in its official statements, to the extent permitted by law.
The choice of the applicable law does not affect any mandatory rights enjoyed by the User under laws that may not be contracted out of in the State in which the User resides or from which the User uses the Services, where those laws are applicable.
Unless arbitration is agreed upon or the law requires otherwise, the courts of competent jurisdiction determined in accordance with the applicable law shall have jurisdiction to hear any dispute arising out of this Agreement or relating to the use of the Platform.
This clause does not prevent any party from seeking interim, protective or urgent measures before the competent court where this is necessary to protect rights or to prevent the occurrence of irreparable harm.
Before commencing any judicial or arbitral proceeding, the parties undertake to attempt to settle the dispute amicably.
The party wishing to bring the claim shall send a written notice setting out:
The other party shall be granted a period of not less than thirty (30) days to attempt to reach an amicable settlement, unless the nature of the dispute requires urgent measures to be taken.
If the Platform, or the agreement relating to the service or subscription, provides for recourse to arbitration, and this is permissible under the applicable law, the dispute shall be referred to arbitration in accordance with the rules determined by the selected arbitral institution.
Unless the parties agree otherwise:
This clause does not deprive any user of the rights that may not be waived under mandatory laws.
Each party undertakes to comply with the final judicial judgments or arbitral awards issued by the competent authority, in accordance with the applicable law.
This clause is without prejudice to the right of any party to use the legal means available to appeal, to enforce, or to seek interim measures, where this is legally permissible.
If any provision of this Agreement is found to be unlawful, ineffective or unenforceable, wholly or partially, pursuant to a judicial ruling or an applicable law, this shall not affect the validity, effectiveness or enforceability of the remaining provisions of the Agreement.
The unenforceable provision shall be interpreted, as far as possible, so as to achieve the legal purpose intended by it without contravening the law.
The Platform's failure to exercise any right, power or remedy conferred on it under this Agreement or the law shall not be deemed a waiver of that right.
No waiver shall be effective unless issued in writing by an authorised representative of Wthaiq.
Furthermore, the exercise of any right on one occasion or in part does not preclude its exercise again or the exercise of any other right.
Neither the use of the Platform nor this Agreement gives rise to the creation of any relationship of:
Between the Platform and the User or between the Platform and any third party.
Each party remains legally independent of the other party.
In the event of a conflict between this Agreement and any other policy or agreement published on the Platform, the order of precedence shall, unless otherwise stipulated, be as follows:
Provisions whose nature requires them to continue after the expiry of this Agreement, the termination of the account, or the discontinuation of the Services shall remain in force and effect, including by way of example and not limitation:
The User undertakes to use the Platform in compliance with all applicable laws, rules and regulations.
No provision of this Agreement may be interpreted so as to permit the use of the Platform in an activity that contravenes the law.
The User acknowledges that the User will not use the Platform in a manner that contravenes any sanctions, restrictions, or export or import regulations applicable to the User under the relevant laws.
The Platform may suspend or terminate the provision of the Services if their continuation may lead to a breach of binding legal or regulatory obligations.
This Agreement, together with all the policies and agreements referred to in it, constitutes the entire agreement between the User and Wthaiq in relation to the use of the Platform.
It cancels and supersedes all previous understandings, agreements or correspondence, whether oral or written, relating to its subject matter.
The Platform may send legal, administrative or operational notices to the User through:
A notice is deemed received as from the date of its dispatch or publication, according to the means used, unless the contrary is proved.
For legal enquiries, notices or correspondence relating to this Agreement, Wthaiq may be contacted through the official means of communication published on the website.
The User bears responsibility for providing the Platform with correct contact details and updating them upon any change.
Wthaiq's details, including the name of the legal entity, its address, its official contact details, and any other regulatory information, are displayed on the legal page or the "Contact Us" page on the website, and form a supplementary part of this Agreement when published.
This Agreement enters into force as from the date set out at the top of this document, or from the date of the User's use of the Platform, creation of an account, or continued use of the Services, whichever is earlier.
Continued use of the Platform after this Agreement, or any amendment to it, takes effect is deemed binding acceptance of all of its provisions.
The User agrees that all notices, disclosures, agreements, invoices, correspondence and consents sent by the Platform electronically are deemed to satisfy any legal requirement that such correspondence be in writing, to the extent permitted by the applicable law.
The User agrees that the electronic records created or retained by the Platform, including login records, activity logs and signature records, may be retained and used for the administration of the Services or for security, regulatory or evidentiary purposes, in accordance with the law.
The User agrees to receive notices relating to the account, the Services, security, the subscription or legal updates through email, in-Platform notifications, or any electronic means of communication adopted by the User during the User's use of the Services.
The Platform may provide certain services, features or tools on a trial, preliminary or under-development basis.
The User acknowledges that these services may be incomplete or subject to change or discontinuation at any time.
Beta services are provided "as is" without any additional warranties, and their use is at the User's own responsibility.
The Platform bears no liability for any losses, malfunctions or loss of data that may result from the use of the beta services, to the extent permitted by law.
The Platform may amend, suspend or discontinue any beta service, incorporate it into the core services, or delete it permanently without prior notice.
The User may send suggestions, observations, ideas, recommendations or development requests relating to the Platform or its services.
The submission of such feedback is entirely optional.
The User grants the Platform a worldwide, perpetual, non-exclusive licence, free of financial consideration, to use the feedback, suggestions or ideas that the User provides, and to develop, amend and incorporate them into its services, without any obligation to attribute them to the User or to pay the User any consideration, to the extent permitted by law.
The Platform's services may be accessed from outside the State from which they are administered.
It is the User's responsibility to ensure that the User's use of the Platform does not contravene the local laws or the restrictions imposed in the State from which the User uses the Services.
The User acknowledges that the User will not use the Platform in a manner that contravenes any economic, commercial or financial sanctions or restrictions applicable to the User.
The Platform may suspend or terminate the provision of the Services if their continuation may lead to a breach of binding legal or regulatory obligations.
The User undertakes to comply with any applicable laws or regulations relating to the export, re-export or transfer of technologies or software when using the Platform, where those laws apply to the User.
The User acknowledges that, in the User's decision to use the Platform or to subscribe to its services, the User has not relied on any statement, promise, warranty or representation not expressly set out in this Agreement or in the official policies published on the Platform.
The Platform makes reasonable efforts to update the templates, content and services where necessary; however, it is not obliged to update all templates or documents immediately upon the issuance of any legislative, regulatory or judicial amendment.
It is the User's responsibility to ensure that the document the User uses complies with the applicable law at the time of its use.
This Agreement does not create any rights or benefits for any person or entity that is not a party to it, unless the applicable law expressly provides otherwise.
Although the Platform may create backup copies for operational purposes, the User remains responsible for retaining copies of the User's important documents or data where this is necessary for the User's business or legal obligations.
The User may not assign any of the User's rights or obligations arising out of this Agreement or transfer them to any other person without the prior written consent of Wthaiq.
The Platform may transfer or assign its rights or obligations or this Agreement to any affiliated company or legal successor, or in the context of a restructuring, merger or sale of its business, in accordance with the applicable law.
The headings of the chapters and clauses contained in this Agreement are for the purposes of organisation only, and do not affect the interpretation of any of its provisions.
All provisions shall be interpreted so as to achieve the legal and operational purpose of this Agreement, and in a manner consistent with the applicable law.
The User acknowledges that the User has read this Agreement in full, understood all of its provisions, and agreed to it by the User's free will, and that the User's use of the Platform, creation of an account, or continued use of the Services constitutes final and binding acceptance of all of its provisions and the policies associated with it.
All rights not expressly granted to the User remain reserved to Wthaiq.
The Platform may launch new services, features or tools on a gradual or trial basis or for specified categories of users.
The Platform is not obliged to make all features available to all users or in all States, and those features may be modified, discontinued or merged with other services at any time.
No announcement, roadmap, demonstration or marketing material issued by the Platform shall be interpreted as an undertaking to launch, develop or continue providing any future service or feature.
The decision to develop, amend or cancel any service is subject to the Platform's sole discretion.
The User is prohibited from exploiting technical, programming, pricing or operational errors in order to obtain benefits, services, subscriptions, credits or discounts to which the User was not entitled.
The Platform may correct those errors and take the necessary measures, including cancelling benefits obtained unlawfully.
The User is prohibited from circumventing usage limits, fees, or technical, security or contractual restrictions by any direct or indirect means.
The Platform may take the technical or legal measures necessary to prevent any circumventing use.
No provision of this Agreement shall be interpreted in a manner that deprives the User of any right that may not be waived or limited under the applicable mandatory laws.
The Platform may take such measures as it considers appropriate to ensure the continuity of the provision of the Services, including transferring data, operating backup systems, or engaging alternative service providers where necessary.
The taking of these measures does not constitute a breach of this Agreement.
The Platform may, in the event of a merger, acquisition, restructuring, sale of assets or transfer of the business, transfer this Agreement or the rights or obligations arising out of it to the legal successor or to the entity to which the business is transferred, in accordance with the applicable law.
The Platform is not obliged to retain any document, file or data for an indefinite period, and the retention of data is subject to the Data Retention Policy, the subscription used, and the legal requirements.
The Platform reserves the right to correct any typographical, technical, computational, programming or pricing errors that may appear on the website, in the Services, in the documents or in the advertisements, and those errors do not give rise to any vested right for the User where they result from a manifest error.
The User agrees that acceptance of this Agreement electronically, or the creation of the account, or the use of the Platform, or clicking the acceptance button or the like, constitutes legally binding consent to the extent permitted by the applicable law.
All clauses contained in this Agreement are considered independent of one another, and the remaining clauses continue in force even in the event of the invalidity or unenforceability of any one of them, to the extent permitted by law.
Words used in the singular include the plural where the context so requires, and a reference to any gender includes all genders, and the use of chapter or clause headings does not affect the interpretation of this Agreement.
Wthaiq reserves all rights not expressly granted to the User under this Agreement.
No provision may be interpreted as granting the User any right or licence beyond what is expressly set out in this Agreement.
This Agreement remains in force throughout the period of the User's use of the Platform, and the provisions whose purpose requires them to survive after the end of use or the termination of the account continue, including the provisions on intellectual property, limitations of liability, indemnity, dispute resolution, and the retention of records and data.
The User acknowledges that the User has read this Agreement thoroughly, understood all of its provisions, was afforded the opportunity to review it before accepting it, and that the User agrees to it without coercion, fraud or deceit, and undertakes to comply with it throughout the period of the User's use of the Wthaiq platform.
Unless expressly stipulated otherwise, the creation, signature, storage or sharing of a document through the Platform does not mean that the document has been notarised, approved or certified by any governmental, judicial or regulatory body.
It is the User's responsibility to complete any notarisation, certification or registration procedures that the applicable law may require.
As a general rule, the Platform does not review the content of the documents created or uploaded by the User, and does not verify:
The provision of tools for creating or amending documents does not constitute approval, endorsement or certification of their content.
The parties to any contract or agreement created or signed using the Platform bear full responsibility for:
The Platform bears no liability for the legal relationship existing between the parties.
The Platform may provide technical means to assist in verifying certain data or events; however, these means do not constitute a warranty or certificate of the validity of identity, capacity, authority or intent, or of the integrity of the document or the validity of the transaction, unless expressly stipulated otherwise.
The Platform may record and use the IP address and the technical data associated with the use of the Services for the purposes of:
The IP address alone does not constitute a conclusive means of establishing the User's identity, geographical location or legal personality.
The electronic records created by the Platform may assist in supporting proof of certain facts; however, their acceptance, evidentiary weight or legal value is subject to the applicable law and to the discretionary power of the court or the competent authority.
The Platform gives no warranty as to the acceptance of those records as evidence in any dispute or legal proceeding.
Laws, regulations, rules, or judicial or regulatory interpretations may change after the documents have been created, signed or used.
The Platform bears no liability for any effects arising as a result of those changes, nor is it obliged to amend all templates or documents immediately upon the issuance of any legislative or regulatory change.
The User acknowledges that the User understands and agrees that Wthaiq is a technology platform for providing digital tools for the creation and management of documents and for electronically signing them, that its use is not a substitute for engaging a lawyer or legal adviser where necessary, and that it does not create any legal relationship between the Platform and the parties to the transactions other than the contractual relationship concerning the use of the Services in accordance with this Agreement.
This document is governed by and shall be interpreted in accordance with the laws of the Arab Republic of Egypt, and jurisdiction lies with the competent Egyptian courts to determine any dispute arising out of or relating to it, and any arbitration — if agreed upon by the parties — shall be conducted within the Arab Republic of Egypt and in accordance with its laws, without prejudice to any mandatory rights conferred on the User under the applicable laws of the User's country of residence.
