This Subscriptions and Billing Policy (the "Policy") governs the financial provisions relating to the use of the paid services provided by Wthaiq, including subscriptions, billing, payment methods, renewal, fees, taxes, and any other amounts due.
This Policy forms an integral part of the Terms and Conditions of Use, the User Agreement, the Licence Agreement, and the remaining legal policies of the Platform.
This Policy applies to all Users who:
The purchase of any subscription or the use of any paid service constitutes the User's express acceptance of this Policy and of all the fees and financial obligations associated with it.
For the purposes of this Policy, the following terms shall have the meanings set out against each of them:
Subscription: the plan that grants the User the right to use certain services in consideration of fees.
Billing cycle: the period of time on the basis of which the fees are calculated, such as monthly or annual.
Automatic renewal: the automatic continuation of the subscription for a new period unless it is cancelled in accordance with this Policy.
Payment method: any method accepted by the approved payment provider for the settlement of the fees.
Fees: all amounts due in consideration of the services, the subscriptions, or the additional features.
Wthaiq may provide different subscription plans, including:
The features of each plan, its usage limits, and its prices are set out on the subscriptions page on the website.
The subscription commences upon the successful completion of the payment process, or on the date specified at the time of purchase if the plan so provides.
Certain plans may require additional review or manual activation before the provision of the service commences.
Usage limits vary according to the type of subscription, and may include:
The User may not exceed the prescribed limits unless the Platform has made this available or the User has upgraded to a suitable plan.
The User may upgrade or downgrade the User's subscription plan in accordance with the options provided by Wthaiq.
An upgrade or a downgrade may result in:
Subscription fees are calculated in accordance with the billing cycle specified at the time the subscription is purchased, whether it is:
Subscription fees fall due in advance for each billing cycle, unless expressly provided otherwise.
The provision of the paid service does not commence before the fees fall due or the payment process is completed, where the plan requires advance payment.
The Platform may issue electronic invoices for all payments made through the services.
The invoice may include, as the case may be:
The prices of the services may be displayed, or the fees collected, in one or more currencies according to the country, the payment method, or the account settings.
The final amount displayed to the User may differ as a result of currency exchange rates or of charges imposed by the payment service provider or by the bank issuing the payment method, and Wthaiq bears no liability for such differences.
Wthaiq may accept multiple payment methods, including:
All or part of the payment transactions may be carried out through independent payment service providers.
As a general rule, Wthaiq does not retain full payment card data where such data is processed directly by the payment provider.
The use of the payment services is also subject to the terms, conditions, and policies of the approved payment provider.
The Platform or the payment provider may:
Wthaiq bears no liability for any delay resulting from the verification procedures carried out by the payment provider or by the financial institutions.
The User undertakes the following:
The User bears all bank charges, currency conversion charges, or charges imposed by the payment provider or by the bank issuing the payment method, unless otherwise provided.
Where the plan includes automatic renewal, the subscription shall be renewed automatically for a period equivalent to the preceding billing cycle, unless the User cancels the renewal before its due date in accordance with this Policy.
Upon selecting a plan that includes automatic renewal, the User authorises Wthaiq or the approved payment provider to debit the fees due using the payment method registered by the User, on each renewal date.
If the fees cannot be collected on the renewal date, the Platform may:
The User bears responsibility for maintaining the accuracy of the User's payment details.
The Platform bears no liability for the failure of renewal or the suspension of the service on account of the expiry of the payment method, the insufficiency of the balance, or any cause attributable to the User or to the payment provider.
The prices of the subscriptions and the services are set out on the official pricing page of Wthaiq.
The Platform may amend the prices in the future in accordance with the provisions of this Policy.
Unless expressly stated otherwise, the fees announced may not include taxes, governmental charges, value added tax, or any other statutory charges that may be applicable.
The User bears the payment of the taxes or charges imposed by law on the use of the services, unless the law provides otherwise or the Platform announces that the price is inclusive of them.
Wthaiq may amend the prices of the subscriptions or the services at any time.
An amendment of the prices does not affect the current subscription cycle, but applies to subsequent renewal cycles or to new subscriptions, unless the law requires otherwise.
Where appropriate, the Platform shall notify Users of material changes a reasonable period before they take effect.
The Platform may provide promotional offers, discounts, or discount codes in accordance with the terms specific to each offer.
The User may not:
The Platform may cancel any discount or feature obtained as a result of unlawful use or of use in breach of the terms of the offer.
Where Wthaiq provides a credit balance, a promotional balance, or usage credits, the use thereof is subject to the terms determined by the Platform.
Unless expressly provided otherwise:
The User agrees to receive invoices and financial notices in electronic form.
The Platform may retain the invoices electronically and make them available to the User through the User's account or send them to the registered email address.
If the User believes that there is an error in an invoice or in a debit transaction, the User must notify Wthaiq within the period determined by the Platform or within a reasonable period from the date of issue of the invoice.
The Platform may request additional information or documents before determining the objection.
The submission of an objection does not suspend the accrual of the amounts that are not in dispute.
Wthaiq reserves the right to correct any accounting, technical, pricing, or arithmetical error that may appear in the invoices, the prices, or the debit transactions.
Where the error has resulted in the collection of an incorrect amount, the Platform may effect the appropriate settlement in accordance with the applicable law.
If the fees due are not settled on their due date, Wthaiq may, after taking such measures as it deems appropriate, suspend some or all of the services until the amounts due are settled.
The suspension of the service does not constitute a breach by the Platform of its obligations where it is caused by non-payment.
The services may be reactivated after the settlement of the fees due and the satisfaction of any other requirements that the Platform deems necessary, in accordance with the operational procedures in force.
Wthaiq does not guarantee the retention of all data, features, or settings if the suspension of the account or of the subscription continues for an extended period, this being in accordance with the data retention policies.
All fees due remain payable even after the suspension of the services or the termination of the subscription, unless the law or the refund policy provides otherwise.
The Platform may take the appropriate legal or contractual measures to collect the amounts due, this being to the extent permitted by law.
The User may not deduct or set off any amounts that the User claims to be owed against the fees due to Wthaiq, unless the Platform has agreed to this in writing or the law expressly permits it.
The forbearance of Wthaiq from collecting any amount due, or its delay in doing so, does not constitute a waiver of its right to claim that amount subsequently, this being to the extent permitted by law.
Wthaiq may amend this Policy where there is operational, legal, or commercial necessity.
The amendments enter into force from the date of their publication or from the date specified therein, and the continued use of the services or the renewal of the subscription is deemed to constitute acceptance of them.
This Policy shall be construed together with the Terms and Conditions of Use, the User Agreement, the Licence Agreement, the Refund Policy, the Cancellation Policy, and the remaining legal policies of Wthaiq.
In the event of a conflict, priority shall be as provided for in the Terms and Conditions of Use, unless the law requires otherwise.
This Subscriptions and Billing Policy enters into force as of the date set out at its beginning, and remains applicable to all subscriptions and paid services provided by Wthaiq until it is amended or replaced.
Wthaiq may provide optional services or features in consideration of fees separate from the basic subscription, including by way of example and not limitation:
Where a plan permits usage exceeding the basic limits in consideration of additional fees, the User agrees to pay the fees prescribed for such usage in accordance with the announced prices.
The Platform may restrict usage where the plan does not support exceeding the limits.
Wthaiq may offer free trial periods for certain services.
Unless announced otherwise:
If a technical, software, or human error results in the display of a manifestly incorrect price, Wthaiq reserves the right to cancel the order or to correct the price before the performance of the service, while notifying the User and refunding any amounts collected without lawful basis, where this is required.
The Platform may provide plans dedicated to companies or institutions that include different financial terms, such as:
If Wthaiq accepts dealing by way of Purchase Orders, the acceptance of the purchase order does not constitute acceptance of any additional terms imposed by the client unless the Platform has agreed to them in writing.
If Wthaiq agrees to grant a payment grace period to certain clients, the invoices must be settled within the agreed period.
The Platform may suspend the services or withdraw those facilities in the event of delay in payment.
No delay or forbearance by Wthaiq in claiming any fees or amounts due shall cause it to be regarded as having waived its right to collect them, this being to the extent permitted by law.
The Platform may review the payment transactions, the invoices, or the usage where it has reasonable grounds to believe that there is an error, fraud, or a breach of this Policy.
Wthaiq may refuse or suspend any purchase or subscription where reasonable indications are established of:
The termination of the account, the subscription, or the services does not extinguish any fees, amounts, or financial obligations that arose before the date of termination.
If any provision of this Policy becomes ineffective or unenforceable, this shall not affect the validity or the effectiveness of the remaining provisions.
The version published on the Wthaiq website is the official approved version of the Subscriptions and Billing Policy, and supersedes any previous version.
The User acknowledges that the User has read the Subscriptions and Billing Policy, has understood all the fees, the financial obligations, and the payment and renewal mechanisms set out therein, and agrees to be bound by it upon purchasing any service or subscription from Wthaiq.
If the User objects to any payment or debit transaction, the User must contact Wthaiq before submitting any objection to the bank or to the payment service provider, wherever this is possible, so as to enable the Platform to review the transaction and to attempt to resolve the dispute.
This clause does not prevent the User from exercising any mandatory rights conferred by law.
If the User requests the reversal of the value of a payment transaction through the bank or the card issuer without a legal or contractual justification, Wthaiq may, to the extent permitted by law:
If a technical, banking, or operational error results in the debit of an incorrect amount or in the failure to debit the fees due, Wthaiq may correct that error and effect the appropriate settlement after notifying the User, wherever this is possible.
If the payment transaction is made in a currency other than the currency used by the User, the bank or the payment service provider may apply an exchange rate or additional charges.
Wthaiq bears no liability for exchange rate differences or for charges imposed by financial institutions.
Wthaiq may refuse or suspend any payment transaction where this is necessary in order to comply with anti-money laundering laws, counter-terrorist financing laws, economic sanctions, or any applicable regulatory requirements.
The acceptance of any subscription or the grant of a payment grace period in respect of it does not create a credit or financing relationship between Wthaiq and the User, unless this has been expressly agreed in writing.
In the event of a conflict between the prices published on the website and a special offer submitted to the User in writing by Wthaiq, priority shall be given to the written offer during its period of validity and within the limits of the terms contained in it.
Wthaiq may retain the records of invoices, payments, and financial transactions for such period as it deems appropriate in order to comply with legal, tax, or accounting requirements or in order to defend its rights.
All provisions relating to the fees, the invoices, the taxes, the amounts due, the settlement of financial disputes, and collection remain in force even after the expiry of the subscription or the closure of the account, this being to the extent necessary for the performance of the existing obligations.
The User acknowledges that the User has examined the Subscriptions and Billing Policy, has understood all the financial obligations arising from the use of the paid services, and agrees to be bound by it throughout the period of the User's use of the Wthaiq services.
This document shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, and the competent Egyptian courts shall have jurisdiction to determine any dispute arising out of it or relating to it, and any arbitration — should the two parties agree upon it — shall be conducted within the Arab Republic of Egypt and in accordance with its laws, without prejudice to any mandatory rights afforded to the User under the applicable laws of the User's country of residence.
