Chapter One: General Provisions

1. Introduction

This User Agreement (the "Agreement") constitutes the legal contract governing the relationship between Wthaiq ("the Platform", "we", "us") and every user who uses the Platform's services.

This Agreement sets out the mutual rights, obligations and responsibilities of the two parties in relation to the use of the services, account management, subscriptions, documents, electronic signature, and future services.

This Agreement shall be read together with the Terms and Conditions of Use, the Privacy Policy, the Cookies Policy, the Acceptable Use Policy, the Electronic Signature Policy, and any other policies published by the Platform.


2. Scope of the Agreement

This Agreement applies to all users of Wthaiq, whether they are:

  1. Individuals.
  2. Companies.
  3. Institutions.
  4. Governmental entities.
  5. Non-profit organisations.
  6. Any other legal person that uses the Platform's services.

3. Acceptance of the Agreement

Upon creating an account or using any service provided by Wthaiq, the User acknowledges that he:

  1. Has read this Agreement.
  2. Has understood all of its provisions.
  3. Has agreed to it.
  4. Has undertaken to comply with all the obligations contained in it.

4. The Relationship Between the Parties

This Agreement does not create any relationship of:

  1. Partnership.
  2. Agency.
  3. Commercial franchise.
  4. Employment relationship.
  5. Lawyer and client relationship.
  6. Legal representation relationship.

The relationship between the parties is limited to the provision and use of digital services in accordance with this Agreement.


Chapter Two: The User Account

5. Creating the Account

When creating the account, the User undertakes the following:

  1. To provide correct data.
  2. To maintain the accuracy of the data.
  3. To update the data when it changes.
  4. To use an email address which he is entitled to use.
  5. Not to create fraudulent or fictitious accounts.

6. Responsibility for the Account

The User bears full responsibility for all activities carried out using his account, including:

  1. Logging in.
  2. Creating documents.
  3. Sharing files.
  4. Signature operations.
  5. Managing authorised users.
  6. Subscriptions.
  7. All operations carried out using his login credentials.

7. Account Security

The User undertakes to:

  1. Maintain the confidentiality of the password.
  2. Refrain from sharing login credentials.
  3. Use appropriate protection measures.
  4. Notify the Platform immediately upon suspicion of any unauthorised use.

8. Authorised Users

If the Platform makes it possible to add other users to the account, the account owner bears responsibility for:

  1. Granting permissions.
  2. Reviewing permissions.
  3. Removing unauthorised users.
  4. All activities carried out by authorised users.

Chapter Three: Rights of the User

9. The Right to Use the Services

The User is entitled to use the services provided by Wthaiq in accordance with the type of subscription and this Agreement.

This right does not grant any ownership of the Platform, its software or its components.


10. Access to the Account

The User may access his account and use the services available to him throughout the validity period of the account, unless the account is suspended or terminated in accordance with this Agreement.


11. Management of Documents

The User may, according to the type of subscription, create, manage, amend, save, share and download documents using the available services.


12. Requesting Technical Support

The User may contact the technical support team to obtain assistance relating to the use of the services, in accordance with the official support channels and the level of support allocated to the type of subscription.

The support team is not obliged to provide legal advice, review documents or interpret laws.

Chapter Four: Obligations of the User

13. Compliance with the Laws

The User undertakes to use Wthaiq's services in a manner consistent with all applicable laws, regulations and rules in the relevant country or jurisdiction.

The Platform may not be used in any unlawful or legally prohibited activity.


14. Accuracy of Data

The User warrants that all data, information and documents which he provides, uploads or creates using the Platform are:

  1. Correct.
  2. Accurate.
  3. Up to date.
  4. Not misleading.
  5. Not in breach of the rights of third parties.

The User alone bears responsibility for any consequences arising from the inaccuracy of that data.


15. Use of the Services

The User undertakes to use the services for lawful purposes only.

He may not:

  1. Misuse the Platform.
  2. Attempt to disrupt the services.
  3. Circumvent the technical restrictions.
  4. Exploit vulnerabilities.
  5. Use the services in a manner that harms other users or the Platform.

16. Protection of Login Credentials

The User undertakes to take all reasonable measures to protect his own login credentials.

The Platform bears no responsibility for any use carried out by a person who obtained the login credentials as a result of the User's negligence or default.


Chapter Five: Obligations of Wthaiq

17. Provision of the Services

Wthaiq undertakes to exert reasonable commercial efforts to provide the services in accordance with their nature and its technical capabilities, taking into account maintenance work, updates and circumstances beyond its control.

This does not constitute a guarantee that the service will continue without interruption or error.


18. Data Protection

The Platform undertakes to take reasonable security measures to protect personal data and technical data in accordance with the Privacy Policy and the applicable laws.


19. Development of the Services

The Platform may develop its services, amend them, add new features or remove existing features, so as to improve performance or comply with legal or regulatory requirements.

This does not entail any obligation to retain all current features.


20. Technical Support

The Platform exerts reasonable efforts to provide technical support to users in accordance with the type of subscription and the available support channels.

Technical support does not include:

  1. Providing legal advice.
  2. Reviewing contracts.
  3. Drafting bespoke agreements.
  4. Representing the User before any authority.

Chapter Six: Documents and Transactions

21. Responsibility for Documents

The User bears full responsibility for all documents which he creates, amends, uploads, shares or signs using the Platform.

Wthaiq bears no responsibility for the content of those documents or for their legal effects.


22. Responsibility of the Parties

All legal rights and obligations relating to any contract or agreement remain between its parties alone.

Wthaiq is not a party to any transaction or contract concluded using its services.


23. Review of Documents

The User undertakes to review all documents before using, sending or signing them.

No template or output provided by the Platform may be relied upon without appropriate review by the User or by a competent adviser where necessary.


24. Retention of Documents

The Platform may provide a service for retaining documents electronically in accordance with the type of subscription.

Nevertheless, the User remains responsible for keeping copies of his documents where this is necessary for his business or his legal obligations.

Chapter Seven: Subscriptions and Services

25. Types of Subscription

Wthaiq may provide free or paid subscription plans which differ in terms of:

  1. The number of users.
  2. The number of documents.
  3. Storage space.
  4. The number of signature requests.
  5. Artificial intelligence features.
  6. The level of technical support.
  7. Other additional benefits.

The details of each plan are set out on the subscriptions page published on the Platform.


26. Modification of the Subscription

The User may upgrade, downgrade or cancel his subscription in accordance with the terms applicable to the plan used.

A change of subscription does not entail the refund of any amounts unless the Refund Policy provides otherwise.


27. Usage Limits

Certain services may be subject to operational, technical or contractual usage limits, such as:

  1. The number of documents.
  2. The number of users.
  3. The number of signatures.
  4. Storage space.
  5. The number of artificial intelligence requests.
  6. The number of application programming interface (API) requests.

The Platform may suspend certain features or impose additional restrictions when the prescribed limits are exceeded, in accordance with the plan used.


28. Future Services

The Platform may add new services or features, amend the current services or discontinue some of them, and the use of any new service is subject to this Agreement and to any additional terms applicable to it.


Chapter Eight: Electronic Signature

29. Use of the Service

If the User uses the electronic signature service, he acknowledges that he uses it of his own free will, and bears responsibility for satisfying himself as to its suitability for his transaction and for the applicable law.


30. Responsibility of the User

The User bears responsibility for:

  1. Reviewing the document before signing it.
  2. Verifying the identity of the parties, whenever that is necessary.
  3. Sending signature requests to the correct persons.
  4. Maintaining the confidentiality of his own verification means.

31. Signature Records

The Platform may retain electronic records relating to signature operations, for operational, security and evidentiary purposes, in accordance with the Terms of Use and the Privacy Policy.

The retention of these records does not constitute governmental notarisation or a guarantee of their acceptance before all authorities.


Chapter Nine: Termination of the Agreement

32. Termination of Use by the User

The User may terminate his use of the services or delete his account at any time, subject to any existing financial or contractual obligations.


33. Termination of Use by the Platform

Wthaiq may suspend or terminate the account or restrict access to the services if:

  1. The User has breached this Agreement.
  2. The User has breached the Terms and Conditions of Use.
  3. The User has used the services unlawfully.
  4. The User has threatened the security of the Platform.
  5. The User has failed to pay the fees due.
  6. The law or an order issued by a competent authority so requires.

34. Effects of Termination

Upon termination of the account, the Platform may:

  1. Discontinue access to the services.
  2. Delete or archive the data in accordance with its policies.
  3. Retain the records which the law or security requires to be retained.
  4. Terminate subscriptions in accordance with the applicable terms.

Termination of the account does not affect rights or obligations which arose before termination.


Chapter Ten: General Provisions

35. Entire Agreement

This Agreement, together with the Terms and Conditions of Use, the Privacy Policy and the remaining legal policies published on the Platform, constitutes the entire agreement between the User and Wthaiq in relation to the use of the services.


36. Priority of Documents

In the event of a conflict between this Agreement and any other policy, priority shall be determined in accordance with the order specified in the Terms and Conditions of Use, unless the law provides otherwise.


37. Severability of Provisions

If any provision of this Agreement becomes ineffective or unenforceable, this shall not affect the validity or effectiveness of the remaining provisions.


38. Amendment of the Agreement

Wthaiq may amend this Agreement from time to time, and the amendments become effective from the date of their publication or from the date specified in them.

Continued use of the services after the amendments take effect shall be deemed acceptance of them, to the extent permitted by law.


39. Communication

The User may contact Wthaiq through the official means of communication published on the website for enquiries relating to this Agreement or to the services.


40. Entry into Force

This Agreement enters into force as from the date set out at its beginning, and remains in effect throughout the period of the User's use of Wthaiq's services.

Chapter Eleven: Advanced Provisions for the User

41. Use of the Account Within Organisations

If the account is owned by a company, an institution or any legal person, all users who are granted access to the account shall be deemed users authorised by the account owner.

The account owner bears responsibility for:

  1. Managing user permissions.
  2. Reviewing authorised users periodically.
  3. Removing the permissions of any user who is no longer authorised.
  4. All activities carried out through the corporate account.

42. Transfer of Ownership of the Account

The User may not sell, lease, assign or transfer the account to any other person or entity without the prior written consent of Wthaiq.

The Platform may refuse any request to transfer the account if it would harm the security of the Platform or breach the laws or this Agreement.


43. International Use of the Services

If the User uses the Platform from outside the country from which the services are administered, he bears responsibility for compliance with all local laws applicable to him, including the laws relating to contracts, electronic signature and data protection.

Wthaiq does not warrant that all services comply with the legal requirements in all countries.


Chapter Twelve: Communication and Notices

44. Electronic Notices

The User agrees to receive all notices relating to the account, the subscription, the services, security or this Agreement electronically, including:

  1. Email.
  2. Notices within the Platform.
  3. Text messages, where used.
  4. Any other electronic means adopted by the User.

45. Accuracy of Contact Details

The User undertakes to keep his own contact details accurate, and bears responsibility for any consequences arising from a failure to update them.

Any notice sent to the contact details registered in the account shall be deemed to have been validly sent, unless the User proves otherwise.


Chapter Thirteen: Final Provisions

46. No Waiver

Wthaiq's forbearance from exercising any right conferred upon it under this Agreement shall not be deemed a waiver of that right.

No waiver shall be effective unless issued in writing by an authorised representative of the Platform.


47. Survival of Certain Provisions

The provisions relating to intellectual property, confidentiality, limitations of liability, indemnification, dispute resolution, data retention, and any provisions the purpose of which requires them to continue, shall remain in effect even after the termination of this Agreement or the closure of the account.


48. Force Majeure

Wthaiq bears no responsibility for any delay or inability in performing its obligations if that arises from circumstances beyond its reasonable control, in accordance with the Terms and Conditions of Use.


49. Governing Law

This Agreement is governed by and construed in accordance with the law determined by Wthaiq in its legal documents, subject to any applicable mandatory rules which may not be derogated from by agreement.


50. Final Acknowledgement

The User acknowledges that he:

  1. Has read this Agreement in full.
  2. Has understood his rights and obligations.
  3. Has agreed to be bound by it.
  4. Understands that his use of the Platform is also subject to the Terms and Conditions of Use, the Privacy Policy and the remaining legal policies published on Wthaiq.

The creation of an account or the use of any of Wthaiq's services shall be deemed binding electronic consent to all the provisions of this Agreement.


Governing Law and Jurisdiction

This document is governed by and shall be construed in accordance with the laws of the Arab Republic of Egypt, and the competent Egyptian courts shall have jurisdiction to determine any dispute arising out of or relating to it, and any arbitration — if agreed upon by the two parties — shall be conducted within the Arab Republic of Egypt and in accordance with its laws, without prejudice to any mandatory rights conferred on the User under the applicable laws of his country of residence.
