Chapter One: General Provisions

1. Introduction

This Licence Agreement (the “Agreement”) constitutes the legal contract governing the licence granted by Wthaiq (“the Platform”, “we”, “us”) to the User for the use of the website, the software, the systems and the digital services provided by the Platform.

This Agreement does not transfer any intellectual property to the User; rather, it grants the User a limited right to use the Services in accordance with its provisions.

This Agreement shall be read together with the Terms and Conditions of Use, the User Agreement, the Privacy Policy, the Acceptable Use Policy, and all other legal policies of the Platform.

2. Scope of the Licence

Wthaiq grants the User, throughout the term of this Agreement, a licence that is:

  • Limited.
  • Non-exclusive.
  • Non-transferable.
  • Not capable of being sub-licensed.
  • Revocable.
  • Designated for use in accordance with this Agreement only.
  • This licence does not entail any transfer of intellectual property rights or any other proprietary rights.

3. Nature of the Licence

The licence is confined to enabling the User to use Wthaiq’s services through the means made available by the Platform.

No provision of this Agreement may be construed as:

  • A sale of the software.
  • A transfer of ownership.
  • An assignment of intellectual property rights.
  • A grant of an exclusive right to the User.
  • A grant of a right of commercial exploitation of the Platform.

4. Acceptance of the Agreement

The creation of an account, the use of any of Wthaiq’s services, or the continued use of them, constitutes legally binding consent to this Agreement.


Chapter Two: Rights Granted

5. Right to Use the Services

The User may use the services provided by Wthaiq in accordance with the type of subscription, the usage limits, and all applicable legal documents.

6. Internal Use

Unless Wthaiq agrees otherwise in writing, the licence granted to the User is confined to lawful internal use for the User’s personal or commercial purposes, according to the nature of the account.

7. Limits of the Licence

The licence covers the use of the functions and features made available by the Platform only.

It does not extend to any right to:

  • Obtain the source code.
  • Obtain the development files.
  • Access the internal systems.
  • Use the Platform’s technical infrastructure outside the scope of the available services.
  • Use the trade marks or logos except pursuant to a written authorisation.

8. Term of the Licence

The licence shall remain in force throughout the period of:

  • The validity of the account.
  • Compliance with this Agreement.
  • The continued provision of the service by Wthaiq.

The licence shall terminate automatically upon the cessation of any of these conditions, or in accordance with the termination provisions set out in this Agreement.


Chapter Three: Restrictions on the Licence

9. General Restrictions

The User may not, whether directly or indirectly:

  • Copy the Platform or any substantial part of it, save to the extent permitted by the service.
  • Sell or resell the Services.
  • Lease the Services or lease access to them.
  • Sub-licence the Services.
  • Distribute or republish the software.
  • Exploit the Services in a manner that breaches this Agreement.

10. Reverse Engineering

Save where expressly permitted by a mandatory law that may not be derogated from by agreement, the User is prohibited from:

  • Carrying out reverse engineering.
  • Decryption.
  • Disassembly.
  • Removing or circumventing technical protection measures.
  • Extracting the source code.
  • Analysing the components of the software with a view to reproducing them.

11. Derivative Works

The User may not create derivative works from the Platform or from any of its components, software, interfaces, designs or databases, or exploit them to develop a similar or competing service, without Wthaiq’s prior written consent.

12. Removal of Proprietary Notices

It is prohibited to remove, alter or conceal any notice relating to copyright, trade marks, patents or any other intellectual property rights appearing on the Platform or within its services or its documents.

Chapter Four: Intellectual Property Rights

13. Ownership of the Platform

All rights, title and interest relating to the Wthaiq Platform shall remain the exclusive property of Wthaiq or of its licensors, including but not limited to:

  • The software.
  • The source code and the executable code.
  • The databases.
  • The designs.
  • The user interfaces.
  • The logos.
  • The trade marks.
  • The domain names.
  • The original content.
  • The technical documentation.
  • The algorithms.
  • The software models.
  • The artificial intelligence tools developed by the Platform.
  • All future improvements, updates and releases.
  • The User acquires no ownership right in any of the foregoing elements.

14. Trade Marks

All trade names, trade marks, logos and service names belonging to Wthaiq are owned by the Platform or by the entities that own them.

They may not be used, copied, imitated, registered or exploited in any manner without prior written consent.

15. The User’s Rights

The intellectual property rights in the documents, files or data that the User creates or uploads to the Platform shall remain owned by the User or by their lawful owners.

Wthaiq claims no ownership of those documents, save for the limited rights necessary to provide the Services in accordance with this Agreement.

16. The Licence Necessary for the Provision of the Service

The User grants Wthaiq a worldwide, non-exclusive, royalty-free licence, only to the extent necessary in order to:

  • Store the documents.
  • Process the data.
  • Display the documents to the User and to the persons whom the User authorises.
  • Carry out electronic signature operations.
  • Create backup copies.
  • Protect the security of the Services.
  • Operate and maintain the Platform.

This licence shall terminate when the need for it ceases, having regard to the statutory retention periods and the data retention policies.


Chapter Five: Updates and Development

17. Updates

Wthaiq may issue updates, upgrades, improvements, security fixes or new developments at any time.

The User agrees that such updates may become part of the Services and shall be subject to this Agreement.

18. Future Releases

Wthaiq is under no obligation to launch any future feature or service, even if it has been announced or referred to in marketing materials or in the roadmap.

Any future service may be modified, postponed or cancelled at the Platform’s discretion.

19. Compatibility

Certain updates may require the use of a particular browser, operating system, device or version.

Wthaiq bears no liability if certain services cannot be used as a result of the use of unsupported software, devices or systems.

20. Discontinuation of Features

The Platform may discontinue, remove or replace any feature or service where this is necessary for technical, legal, security or commercial reasons.

This shall not give rise to any right of the User to demand the retention of a particular feature or to claim compensation, unless the law provides otherwise.


Chapter Six: Termination of the Licence

21. Expiry of the Licence

The licence granted to the User shall terminate automatically if:

  • This Agreement has come to an end.
  • The account has been closed.
  • The Services have been permanently suspended.
  • The User has materially breached the provisions of this Agreement.
  • Wthaiq has ceased to provide the Services.

22. Effects of Expiry of the Licence

Upon expiry of the licence, the User shall:

  • Cease using the Services which the User is no longer licensed to use.
  • Refrain from any subsequent use that breaches this Agreement.
  • Comply with any procedures imposed by the law or by the Agreement in respect of data or documents.
  • Expiry of the licence shall not affect the rights or obligations that arose before the date of its expiry.

23. Survival of Certain Provisions

The provisions relating to intellectual property, limitations of liability, indemnity, confidentiality, dispute resolution, and any provisions the purpose of which requires their continuation, shall remain in force after the expiry of the licence.

  • The software.
  • The source code and the executable code.
  • The databases.

Chapter Seven: Warranties and Disclaimer of Liability

24. No Transfer of Ownership

The grant of the licence to the User does not entail any transfer, sale or assignment of any of Wthaiq’s intellectual property rights.

The licence remains a limited right of use only, and comes to an end in accordance with the provisions of this Agreement.

25. Provision of the Services “As Is”

The Services are licensed and provided “as is” (As Is) and “as available” (As Available), to the extent permitted by the applicable law.

Wthaiq gives no express or implied warranties, including warranties relating to:

  • Fitness for a particular purpose.
  • Merchantability.
  • Freedom from interruption.
  • The Services being free from errors.
  • The compatibility of the Services with all systems or devices.
  • The achievement of particular results for the User.

26. No Warranty of Legal Compliance

Wthaiq does not warrant that the use of the Platform, of the documents or of the electronic signatures will comply with all laws, regulations or regulatory requirements in all countries.

It is the User’s responsibility to ensure that the User’s use of the Services complies with the laws applicable to the User.

27. Third-Party Services

Certain functions of the Platform may depend on services, software or infrastructure owned by third parties.

Wthaiq bears no liability for the failures, interruptions or changes resulting from those services, where they are beyond its reasonable control.


Chapter Eight: Transfer of the Licence

28. The Licence May Not Be Transferred

The User may not sell, transfer, assign, pledge, lease or sub-licence the licence, or dispose of it in any manner, without Wthaiq’s prior written consent.

Any disposition made in breach of this clause shall be void to the extent permitted by law.

29. Transfer of the Agreement by the Platform

Wthaiq may transfer this Agreement, the licence, or any of its rights or obligations, to an affiliate, to a legal successor, or in the context of a merger, an acquisition, a restructuring or a sale of the business, without the need for the User’s consent, subject to the applicable laws.


Chapter Nine: General Provisions

30. Integration with the Legal Documents

The Licence Agreement shall be construed together with:

  • The Terms and Conditions of Use.
  • The User Agreement.
  • The Privacy Policy.
  • The Acceptable Use Policy.
  • The Cookies Policy.
  • The Electronic Signature Policy.
  • Any other agreements or policies published by Wthaiq.

In the event of a conflict, precedence shall be as determined by the Terms and Conditions of Use, unless the law requires otherwise.

31. Severability of Provisions

If any provision of this Agreement is found to be ineffective or incapable of enforcement under the law, that shall not affect the validity or the effectiveness of the remaining provisions.

32. No Waiver

Wthaiq’s refraining from exercising any of its rights under this Agreement shall not be deemed a waiver of that right.

No waiver shall be effective unless it is made in writing and issued by an authorised representative of the Platform.

33. Survival of Provisions

The provisions relating to intellectual property, limitations of liability, indemnity, confidentiality, record retention, dispute resolution, and any provisions the purpose of which requires their continuation, shall remain in force after the expiry of the licence or the termination of the account.

34. Amendment of the Agreement

Wthaiq may amend this Agreement where operational, legal or technical necessity so requires.

Amendments shall take effect from the date of their publication or from the date specified in them, and continued use of the Services shall be deemed acceptance of them, to the extent permitted by law.

35. Entry into Force

This Licence Agreement enters into force as of the date set out at its beginning, and shall remain in force throughout the period of the User’s use of Wthaiq’s services or until the expiry of the licence in accordance with its provisions.

36. Final Acknowledgement

The User acknowledges that the User:

  • Has read the Licence Agreement in full.
  • Has understood the nature of the licence granted to the User.
  • Understands that the licence does not transfer to the User any ownership right in the Platform or in its software or its technologies.
  • Agrees to comply with all the provisions of this Agreement throughout the period of the User’s use of Wthaiq’s services.

The creation of an account or the use of any of Wthaiq’s services constitutes binding electronic consent to this Agreement.


Governing Law and Jurisdiction

This document shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, and the competent Egyptian courts shall have jurisdiction to determine any dispute arising out of it or relating to it; and any arbitration — if the parties so agree — shall be conducted within the Arab Republic of Egypt and in accordance with its laws, without prejudice to any mandatory rights conferred upon the User by the applicable laws of the User’s country of residence.
