By virtue of this contract concluded between the two parties whose complete data are indicated in the attached contracting form, hereinafter referred to as "Party One" (the advertising agency / service provider) and "Party Two" (the advertiser / client), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, Commercial Law No. 17 of 1999, Intellectual Property Rights Protection Law No. 82 of 2002, Personal Data Protection Law No. 151 of 2020, Advertising Regulation Law No. 33 of 2023, and Electronic Commerce Regulation Law No. 15 of 2022, as well as the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to organize the relationship of providing advertising services between Party One (the advertising agency / service provider) and Party Two (the advertiser / client). The agency is committed to providing comprehensive advertising services that include planning, creativity, production, execution, management, and analysis of the advertising campaigns for the client, in exchange for an agreed-upon fee, in accordance with the highest standards of quality and professional efficiency, with the specification of the rights and obligations of each party, the mechanisms of approval, compensation conditions and penalties, and the protection of intellectual property, all within a framework of transparency and compliance with the laws and regulations governing advertising in the Arab Republic of Egypt. The parties have agreed on the following:

Article (1) Definitions of the Contract

1- The meanings of the following words and phrases - wherever they appear in this contract - shall be as set forth alongside each of them, unless the context of the text requires a different meaning:

2- Contract: Refers to this advertising services agreement in its entirety, including its terms and appendices, and its preamble shall be considered an integral part thereof.

3- Advertising Agency / Service Provider: The first party to this contract, which is a company specializing in providing advertising and marketing services, and is licensed to engage in this activity.

4- Advertiser / Client: The second party to this contract, who is the natural or legal person that requests and benefits from the advertising services provided by the agency.

5- Advertising Services: The set of services provided by the agency to the client, as specified in Article (2) of this contract, which includes advertising planning, creativity, production, execution, management, and analysis.

6- Advertising Material: The advertising content (text, image, video, design, logo, message, or any other content) produced by the agency for the client.

7- Advertising Campaign: A set of planned advertising activities executed according to a specific strategy, aimed at achieving certain marketing objectives for the client.

8- Advertising Media: The channels and platforms through which the advertising material is disseminated, such as television, radio, newspapers, magazines, the internet, social media, and outdoor advertising.
